The 2021 Annual General meeting is scheduled for February 8th, 2021. This meeting will be held via Zoom and all those eligible to attend will receive a Zoom meeting invitation via email. Amendment 1 – Section 2.2 a) and Section 2.3 a)
Current Wording:

Proposed Wording:

Rationale: Aligns the wording in the constitution with our new monthly payment schedule
Amendment 2 – Section 2.5
Current Wording:
Registration Fees– Membership fees will be determined annually by the Board.
Proposed Wording:
Registration Fees– Membership fees will be determined annually by the Board on or before July 1st.
Rationale: Aligns the wording in the constitution with the beginning of tryouts for the following year to ensure that fees are set ahead of tryouts. Elite tryouts begin in July.

4.2 Composition of the Board – The Board will consist of the following:

Rationale: Adding the non-voting membership to the Board to align with our current operational practices.
Amendment 3 – Section 4.10
Current Wording:
Terms – Officers and Directors will serve terms of two (2) years and will hold office until their successors have been duly elected in accordance with these By-laws, unless they resign, are removed from or vacate their office. The term of President is limited – two (2) full two (2) year terms, not to exceed six (6) years.
Proposed Wording:
Terms – Officers and Directors will serve terms of two (2) years and will hold office until their successors have been duly elected in accordance with these By-laws, unless they resign, are removed from or vacate their office.
Rationale: Removing term limits within the constitution and moving them to the Election of the Executive Board and terms of Office Policy. Limiting terms is one way to hamstring good volunteers from participating. Controls implemented through the following policy: After two 2 year terms, executive members may put their name forward at the AGM for consideration of a term extension only if f approved by 75% of the governance board ahead of the AGM.

- President (must have served on the Board of Directors for a minimum of one year)

- Treasurer (must hold an accounting designation)

Nominations can be sent via email to ellen.menage@kitchenerminorbaseball.ca until February 2nd at 5pm, and will also be considered from the floor during the meeting. Non-self nominations must include a carbon copy of the nominee for their confirmation that they agree to have their name forwarded for consideration.
